Customer Data & Tech Due Diligence for an Acquisition

A pre-acquisition review of the customer data, consents and technology of an Italian sports events brand, run for an Italian hospitality group to give its negotiators a prudent, defensible reading of what the data was really worth.

Goal

Separate the value the buyer could transfer on day one from the nominal volumes declared by the seller, and surface the risks, remediation work and hidden costs that should weigh on the price before an upfront offer.

Approach

Working alongside the buyer’s legal advisors, we deduplicated and cross-matched event registrations, user records and newsletter lists, segmented contacts by recency, frequency and payment status, valued them on avoided acquisition cost, and assessed consents, platforms and vendor dependencies.

Results

A board-ready technical reading: verified paying customers were less than a fifth of the declared volume, consents needed re-permissioning and custom platforms showed vendor lock-in, supporting a customer-base value well below the initial valuation.
